These Terms & Conditions (“Terms”) apply to all legal, accounting, trademark, and UK GDPR compliance services provided by LEGISTRA LTD via our website polskiprawnik.co.uk and in connection with any contract or engagement with our clients.

Our separate Privacy Policy and Cookies Policy explain how we process and protect personal data.

By using our website or engaging our services, you agree to be bound by these Terms. Please read them carefully before placing an order or entering into a contract with us.

Interpretation

Contract – The agreement between LEGISTRA LTD (represented by Director Agata Mazur) and the Client, incorporating these Terms.
Client – The person, company, or organisation engaging our services.
Services – Any legal, accounting, compliance, or advisory services, including trademark registration and UK GDPR consultancy, as described on our website or agreed in writing.
Deliverables – All reports, documentation, templates, correspondence, and other outputs produced by LEGISTRA LTD in connection with the Services.
Intellectual Property Rights – All registered and unregistered intellectual property rights including copyright, trademarks, design rights, database rights, know-how, and confidential information.

Formation of the Contract

A binding contract is formed when:

  • You confirm acceptance of our proposal or purchase services via our website, and

  • We confirm acceptance of your order or begin work on your matter.

For online purchases of digital products or templates, access will be granted immediately upon payment. Under the Consumer Contracts Regulations 2013, the 14-day cancellation right does not apply to downloads once you have accessed the digital content.

Our Right to Vary These Terms

We may update these Terms from time to time to reflect changes in law, regulatory requirements, or our business operations. The Terms in force at the time of your order will apply to that engagement.

Fees and Payment

Our fees are as stated on our website or in our written proposal. We reserve the right to update pricing without prior notice, but changes will not apply retrospectively to accepted contracts.

Payment terms are as specified in our invoice. Late payment may result in suspension of services until outstanding amounts are settled.

Liability

Nothing in these Terms limits or excludes our liability for:

  • Death or personal injury caused by negligence, or

  • Fraud or fraudulent misrepresentation.

Subject to the above, we shall not be liable for:

  • Loss of profits, revenue, business, or savings.

  • Loss or corruption of data or software.

  • Loss of goodwill.

  • Any indirect or consequential loss.

Our total liability to you for all claims arising in connection with the Contract shall not exceed the total fees paid for the Services in question.

We do not warrant that any service or document will meet your particular requirements unless expressly agreed in writing.

Force Majeure – Events Outside Our Control

We are not liable for delays or failure to perform caused by events beyond our reasonable control, including industrial action, civil unrest, terrorism, war, fire, flood, natural disasters, or failure of telecommunications or hosting services.

Communications

All communications between you and us must be in writing, including by email. Notices are deemed received:

  • On delivery by hand.

  • Two working days after posting by first-class mail.

  • On successful transmission of an email to the notified address.

Intellectual Property Rights – Licence

All Intellectual Property Rights in Deliverables created in the course of our Services remain the property of LEGISTRA LTD unless otherwise agreed.

You may use such Deliverables for your own business purposes but may not copy, distribute, or license them to third parties without our written consent.

If you breach these Terms, your licence to use the Deliverables will terminate immediately.

Governing Law and Jurisdiction

These Terms and any disputes or claims arising from them are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction.

Entire Agreement

These Terms, together with any proposal, invoice, and our Privacy and Cookies Policies, constitute the entire agreement between you and us. No other representations or warranties shall apply unless made in writing and signed by both parties.
